As with many previous episodes, much of the content for the topics I talk about on this podcast come from questions that I receive from you. In this episode, I discuss legal expense insurance, which is something I haven’t covered yet, but I have been asked about and will be useful to know about as a small business owner.
Today you’ll hear about:
What legal expense insurance is, what it’s specifically designed for and examples of some of the risks that may come up for a small business owner
Legal disputes commonly faced by small business owners and that may require legal expenses
Why it’s so important to understand what coverage you already have under your other insurance policies
How often to have the conversation with your insurance broker and specific questions to ask when you do speak with that person
The significant financial impact that legal issues can have on a business and the pros and cons to weigh as the owner
Why more and more small business owners are opting for legal expense insurance right now
If you haven’t recently reviewed your commercial insurance policies, I hope this serves as a reminder for you to do that. As well, I wanted to provide you with the list of questions that you can ask your insurance broker when you have the conversation around your policies and coverage, so that you can get a sense of what types of legal risks you may be potential exposed to, and then you can make some more informed decisions about how to protect your small business.

Today I have a special episode for you, where I’m bringing you a customer success story of someone who has purchased my signature online program, The Canadian Online Legal Template Library, or “COLT” for short. I’ll be talking with them about why they purchased the program, how they use it in their businesses and the benefits they’ve seen for them by using it.
I’ve launched this program many times since 2019, but instead of me telling you about this product I’ve developed, I thought it would be interesting for you as a listener to hear from actual customers who have purchased it, in their own words.
The first person you’ll hear from is Patricia Dent, a business mentor and owner of Grow Vantage who works with entrepreneurs to design, launch and grow their businesses. She is also a sponsor of The Creative Space, a co-working entrepreneurial incubator in Barrie, Ontario, the community which she adopted in 2009. She is also a co-founder of Small Business Connect, a grassroots organization that fills a gap for low-cost small business networking in her local area and currently serves on the Barrie Chamber of Commerce.
Patricia and her team of entrepreneurs teach business owners what they need to know to manage their business effectively and avoid the mistakes that can cost a bundle, or delay success, and their decades of combined experience help people reach profitability sooner. Patricia coaches entrepreneurs one-on-one, in groups or masterminds on top of classes in marketing and sales strategies, marketing tools, money and finance, managing or protecting your business, communications and productivity.
Today you’ll hear about:
Patricia shares her experiences with lawyers and legal dealings and the exponential cost that is associated with this for business owners [3:08]
How The Canadian Online Legal Template Library has become a major tool that Patricia uses when helping the entrepreneurs she and her team work with [3:34]
The value of the Q&A sessions that are available when using Legal My Biz templates [5:05]
Some of the main benefits early-stage entrepreneurs will see by using the resources that come with the program [8:50]
What happens when early-stage entrepreneurs are willing to learn and open themselves up to advice and expert help [10:21]
I hope you not only find nuggets of wisdom in Patricia’s experience with the program, but that you’ll also visit her website at https://www.growvantage.com/ to learn more about her team and how they help you to do the work you love, while teaching you to do the rest.

I’ve been getting a lot of questions the last number of months about buying and selling a business, sometimes from current owners with successful businesses who are looking ahead to sell, and also from people wanting a business who are wondering if they should start from scratch or buy an existing one.
That’s why in this episode, I want to explore these topics and share what you should know about buying an existing business. Specifically, I want to discuss the difference between buying and selling shares and assets, as this is an important distinction that you will need to be aware of if you’re considering buying or selling an established business.
Today you’ll hear about:
The key points of difference between buying shares and buying assets of a company
The ways in which business brokers can help in this process and what you should leave to your accountant or lawyer instead
Why sellers prefer to sell shares and buyers prefer to buy assets and how you can work this out
How to negotiate the necessary legal agreement for selling shares versus buying assets
The reasons that a buyer takes on more risk when purchasing shares and what to understand about due diligence and representations
As you’ll hear, when selling or buying a company, preparation is key. This is especially true if you are selling, and you need to be thinking about this several years in advance. It’s very important for you to be working with your accountant, and to consider what role a business broker should play or not play, in this process. I hope this conversation helps shed some light on what’s really involved in this type of transaction, and it gives you some things to consider about buying assets versus shares in a company.

I’ve been drafting and reviewing shareholder agreements for more than 20 years now, and I recently revisited this topic when teaching a class of female tech founders. Today, I share what a shareholder agreement is, when you need one, some of the different sections you’ll find in this document, as well as other considerations and what you need to be aware of.
Today you’ll hear about:
Why I sometimes describe a shareholder agreement as a “prenup for shareholders”

Sometimes I like to go back and pull some of my favourite past episodes from the podcast to bring back for listeners, so in today’s “From the Vault” episode we’ll be catching up with Jacqueline Steudler, who I first had on the podcast about a year ago.
Jacqueline is a participant in my Canadian Online Legal Template Library which is open for enrollment right now until February 9th, and I wanted to share what Jacqueline had to say about the template library: "Best investment I ever made. The legal templates are easy to adjust to my business needs and if I have a question I can ask Corinne. Her knowledge, eye for detail and unwavering sense of humour make the whole experience invaluable. Win win win all around."
Jacqueline's journey in entrepreneurship has evolved since we recorded this interview. She is trained as an art therapist because she has always been a visual artist who loves to help others, so it was a natural step for her. She loves her job, but she also loves to create and spend time in her art studio, so she is transitioning right now to operating a full-time visual arts business. Jacqueline has a new Instagram account to show off her latest thread sculptures, and if you love art you’ll want to check it out and follow her at www.instagram.com/jacquelinesteudlerart.
Not only do I love hearing about people’s origin stories as an entrepreneur, I also was excited to hear how the template library has been valuable to Jacqueline.
