Syndicated real estate deals can be complicated and can look like a lot of legal mumbo jumbo, but you CAN make sense of it all with a few good pointers! And thatâs what youâre going to get in this interview â a short-but-sweet overview of the syndicated real estate deal in language you can understand.
Our guest is a syndication lawyer who will explain things like capital calls and how to deal with them, the difference between a private placement memorandum and an operating agreement, and why itâs so important to look at how the syndicators are defining their terms. One of those oh-so-important terms is the âpreferred return.â You definitely want to understand that one!
Attorney Bethany LaFlam describes herself as a seasoned deal lawyer, a conscious wealth creator, a real estate investor, and a mother. She has more than 20 years of experience practicing law and is currently a managing partner for the Premier Law Group, which focuses mostly on real estate syndications and funds.
Among other career highlights is Bethanyâs first job at a prestigious Los Angeles law firm called Quinn Emanuel. She then launched a boutique law firm in Newport Beach, California, and merged that practice into a firm in Chicago. Her clients have ranged from real estate syndicators and developers to industries involving aerospace, energy, medical services, and technology.

The buy and hold strategy is a great strategy for real estate investors, but what do you do if your property has increased substantially in value and is no longer giving you a reasonable return on your equity? In other words, if you consider the value of your property today, would it still make sense to rent it out? If not, you may be sitting on a lot of dead equity that could be put to better use. And the best way to do that is by selling the high value property and exchanging it for a better-performing property without paying a capital gains tax on the one you sell. This is what you call a 1031 exchange and is beloved by knowledgeable real estate investors. But thereâs a very specific procedure to follow which youâll find out about in this interview. Youâll hear from the owner of 1031 Specialists, Jeffrey Bemis, who is now helping RealWealth investors with the 1031 exchange process. Jeff has a lot of experience in finance and real estate. He previously worked for Ernst & Young as a CPA before turning his career toward finance and attaining his CFA title. Millions more will still be required to comply with the legislation, and the Federal Government has said it will appeal the ruling that protects members of that one group, so the fight is not over. The Corporate Transparency Act is meant to control financial crimes like money laundering and the financing of terrorism, but it will also impact some five million above-board companies and individuals, such as real estate investors with LLCâs or other kinds of entities AND the CPAâs or attorneys who handle their affairs. And violating the Act could add up to tens of thousands of dollars in fines and jail time. There are also strict deadlines to comply.
